Terms of Service
These Terms of Service (the "Terms") govern your access to and use of the AI-Provision Control Plane and related websites, applications and services (together, the "Service") provided by AI-Provision Technologies, Inc. ("AI-Provision", "we", "us" or "our").

1. Acceptance of these Terms
By accessing or using the Service, or by signing an order form or agreement that references these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of a company or other organisation (the "Customer"), you represent that you have authority to bind that organisation, and "you" refers to that organisation.
2. Definitions
- "Authorized Users" means employees, contractors and agents of the Customer whom the Customer permits to use the Service.
- "AI Agent" means a configured assistant provisioned through the Service that can use models, tools and data subject to the Customer's settings.
- "Customer Data" means data, content and materials submitted to or generated through the Service by or on behalf of the Customer or its Authorized Users.
- "Order" means an order form, subscription or written agreement that references these Terms.
3. Accounts & access
The Customer is responsible for configuring access, managing Authorized Users, and keeping account credentials secure. The Customer is responsible for all activity that occurs under its account and for its Authorized Users' compliance with these Terms. You must notify us promptly at security@ai-provision.com of any suspected unauthorised access or security incident.
4. The Service
AI-Provision provides a platform to provision, manage and govern AI Agents for an organisation, including identity-based access, usage and cost controls, policy enforcement and audit logging. We may update, improve or modify the Service from time to time. We will not materially reduce the core functionality of a paid subscription during its term without notice.
The Service may interoperate with third-party model providers and other services. Your use of those third-party services is governed by their own terms, and we are not responsible for them.
5. Customer Data
As between the parties, the Customer owns all Customer Data. The Customer grants us a limited licence to host, process and transmit Customer Data solely to provide and support the Service. We do not use Customer Data to train external or foundation models. Our handling of personal data is described in our Privacy Policy, and where we process personal data on the Customer's behalf, a Data Processing Addendum applies.
6. Acceptable use
You agree to use the Service in accordance with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend access that violates that policy or poses a security, legal or operational risk.
7. Fees & payment
Fees are set out in your Order. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and are exclusive of taxes. Overdue amounts may accrue interest and may lead to suspension after reasonable notice.
8. Intellectual property
We and our licensors retain all rights, title and interest in the Service, including all related software, documentation and trademarks. These Terms grant no rights except the limited right to use the Service as described. You retain all rights in Customer Data and in outputs generated for you through the Service, subject to the rights of underlying model providers.
9. Warranties & disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all other warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI Agents can produce inaccurate or incomplete output; you are responsible for reviewing output before relying on it.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Term & termination
These Terms apply for as long as you use the Service or have an active Order. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination, your right to use the Service ends, and we will make Customer Data available for export for a limited period before deletion in line with our retention practices.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in the State of Delaware, United States, except that either party may seek injunctive relief in any competent court.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or through the Service. Your continued use after the changes take effect constitutes acceptance.
